Access to specific features depends on your subscription tier and service agreement.

3. Account Registration

To access certain features of our platform, you may be required to create an account. You agree to:

• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account

Your Data

You retain ownership of all data you submit to our platform ("Customer Data"). By using our services, you grant PALIoT a limited, non-exclusive license to process your Customer Data solely to provide and improve our services.

6. Subscription and Payment

Fees

Access to the Falcon platform requires a paid subscription. Fees are outlined in your service agreement or order form. All fees are quoted in U.S. dollars unless otherwise specified.

Payment Terms

Payment is due according to the terms in your service agreement. We may suspend access to services for overdue accounts.

Refunds

Unless otherwise stated in your service agreement, fees are non-refundable.

7. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice when possible.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PALIoT does not warrant that:

• The services will meet your specific requirements
• The services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the services will be accurate or reliable
• Any errors in the services will be corrected

You acknowledge that AI-powered predictions and recommendations are based on available data and algorithms and should not be solely relied upon for critical business decisions.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PALIOT SOLUTIONS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO PALIOT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT MADE ANY PAYMENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless PALIoT Solutions Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your Customer Data

11. Termination

By You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees.

By Us

We may suspend or terminate your access to our services immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the services

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

For material changes, we will provide notice through our website or by email to registered users.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and PALIoT regarding our services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Assignment
